State filing: We'll file the paperwork for you to create your business entity (as either a Limited Liability Company (LLC) or a Corporation (Inc.), your choice, in a state that is very quiet, affordable, and doesn't attract attention. We can lay out a plan in a consultation if needed);

Agent / Representative: You will appoint us as your in-state statutory agent (as required by state law). Our name will go on the state paperwork as your representative;

Tax ID Number: If you request, we'll file for an Employer Identification Number (EIN) for your business with the U.S. Internal Revenue Service (IRS) (This ID Number is required for tax purposes - This is what you need for bank accounts and to conduct regular business);

U.S Address: Establishment of your business with a U.S. address, for conducting day to day business;

A 60-minute consultation for $100 (USD). Meetings are scheduled in the US Eastern Time Zone, so sessions may be early in the morning or late at night depending on where you are in the world.

Consultations take place over a secure teleconferencing (audio/visual) platform, such as Microsoft Teams. We can also be flexible. Thank you for your support, and we forward to helping you.

Other support: We can also help with other tasks as needed (like a bank account, and subsequent filings like change of name, doing business as (DBA), fictitious name, etc. Contact us about your specific request and we'll give you an estimate - Just ask. (Please note: Annual renewal of our authorized representative service is also $100 USD per year)

There are fifty different states in the U.S. Where should a business start?With many years experience filing and establishing businesses in various states, we've identified various benefits as well as drawbacks with respect to business formation in certain states. Here are some observations below: · You may hear and/or read that some states, such as Nevada, Wyoming, etc., are very friendly towards businesses, and others, such as Florida, have the benefit of no state income tax. We agree with these observations. However, please note that often times certain states (such as Florida) require annual filings throughout the life of your company, with gives you added cost, with steep fees and prompt dissolution of your company if the annual report and fees are not paid. · Other states/jurisdictions (such as Puerto Rico, as one example) have comparatively high fees and annual requirements, which may be a disadvantage for small to mid-size businesses, unless there is a specific purposes and business reason to form in that state; · Other states, such as Delaware, are known as business friendly for large corporate entities, and may provide various benefits and legal protections. We've worked with many companies established in Delaware, and we agree that larger companies, such as multi-national corporations, moving forward with business for these benefits and protections. · Through years of filing experience and support, we have found a state that is a low cost, business friendly, best in class solution for business formation and long term business operations in the United States. It's quiet and attracts little to no attention.

Why don't you file in Wyoming? I heard it's great for business owner privacy. Florida has no state tax, and Delaware is great for business protection. Aren't you missing something?Agreed... you and a million other people know about it, and it's heavily advertised. As we said before, many states, such as Nevada, Wyoming, etc., can be very friendly towards businesses and have many benefits. However, kind in mind that there may be extra fees year over year, annual reports, etc. which add up. We take all these things into consideration.

What formation options do you offer? What are the main types of business entities?Our team provides business formation and support package for two main business entities commonly used in the United States (this account for the vast majority of the filings); · Limited Liability Company (LLC): The LLC is a low maintenance, efficient business entity which separates the business owners(s) (normally called "Members") from the business operations, and offers some liability protection. From a tax perspective, there is much flexibility, as an LLC can be taxed either as a pass-through entity (with business income passing directly into the individual tax returns of the Members) or as a corporation (where an additional, separate tax return for the company would be required beyond that of the individual members). Due to the simplicity and efficiency of the business structure, the we have formed the vast majority of its businesses as LLC's, and we recommend this as a preferred business entity. · Corporation: Our team has also incorporated businesses, though not as often. These entities commonly are seen with a suffix "Inc." or "Incorporated" following the business name. As stated above, these entities are a separate entity from any of the business owners (often called "Officers") and require an additional, separate tax return for the company beyond that of the individual business owners. With a corporation, shares are issued to share holders in accordance with the company's bylaws (the operating agreement of the company", and the owners have the flexibility to pay dividends out of the company to shareholders. If your business is a large, publicly traded company, or you intend to grow your business to the point of executing an initial public offering (IPO) with a major stock exchange to create a public traded company, this entity is for you. (Please note: As stated earlier, for large, publicly traded companies, the our team recommends that you consider researching the formation of your corporation in the state of Delaware before returning to us for support in this area. We can definitely help you incorporate, but Delaware may be a better overall fit for your specific circumstances and other firms are more specialized than us in that state).

Where do you file?We have found an optimal overall solution for small to mid-size businesses, and we don't publicize it to prevent it from gaining exposure (next thing you know... they change the laws, with an increase in cost and paperwork!) Here are some benefits: · The state has a low cost of living, and is comparatively very affordable overall from both a business and personal perspective; · It's relatively low in state tax, and has been very tax friendly with nice deductions granted to business owners; · From a state filing perspective, the state is comparatively very hands off, with relatively low filing fees. Business may stay active perpetually. That's correct - In many cases, only an initial filing is needed to form a business, and in most cases there are no required annual renewals and/or filing fees for your business to remain active and in good standing. We have overseen businesses that have stayed active and in good standing for up to 15 years with only a single, initial filing, with no further actions needed from a filing perspective; · It's also very favorable from a distribution perspective, with a large portion of the United States accessible.

What are the Details for the Corporation package?Here's what we offer: · Initial state filing of your business entity with the Secretary of State office; you will receive Articles of Incorporation (State Certificate) for your Corporation. This document is often a requirement for performing day to day business activities, such as working with banks, etc. · You'll appoint our team as your in-state statutory agent and representative (as required by state law); · Assignment of an Employer Identification Number (EIN) for your business from the U.S. Internal Revenue Service (IRS) (as required by U.S. law for tax purposes); · Establishment of your business with a U.S. address, for conducting day to day business. This business address will be in a quiet, uneventful location. · As needed, we can provide a template for an Operating Agreement / bylaws, which outlines the management, structure, organization and operations of the company. This document is often a requirement for performing day to day business activities, such as working with banks, etc.

Why Do You Charge for Consultations?Free consultations generally turn into sales calls, and we want to prevent that. Our calls will be clear with a targeted objective. We will review your business needs and provide recommendation on a path forward given the information available on the call.

What are the Payment Details?So, you've decided to move forward? We try to make it easy for you. Here are the payment details: LLC / Corporation formation package: $500 USD (See other FAQ and main page for the included services). Consultation (1 hour): $100 USD Susequent filings: $100 USD + state filing fee. (this can include change of name, doing business as (DBA), fictitious name, etc. Contact us about your specific request and we'll give you an estimate) We request payment before moving forward. Our standard process is to send you a payment request using Wise or similar application, with payment by Wise account or ACH (to minimize costs). We are flexible and can also accomodate other options, including crypto as needed.
